Registering your Foreign Company in Iraq

Most of investors, international companies and business men suffer from lack of knowledge of their companies registration procedures in Iraq, making them vulnerable to be exploited by international and local law firms and governmental employees.

 This article show the steps and the required documents for registering Branches, Commercial Representation Office for Foreign Companies in Iraq.

  1. A Company Registration Certificate showing it is registered by the authorities in the mother country and it must be legalized (sealed) from the Iraqi embassy in the original country.
  2. A copy of establishing contract of company or/and all original documents by authority in original country and it must be sign by each founder or legal represented and it must be arranged according to article rules of companies law in the mother country and it must be legalized (sealed) from the Iraqi embassy in the original country.
  3. A formal letter from the company's head office signed by an authorized person or the company manager legalized (sealed) from the Iraqi embassy in the original country,  insuring that all information is true and implying responsibility of the branch in Iraq,
  4. A formal letter from the company's head office signed by an authorized person or the company manager legalized (sealed) from the Iraqi embassy in the original country, appointing an Iraqi/foreign Commissioned Manager ,this authorized employee will be present in front of Registrar of Companies in the Mainstay of Trade. And represent the company in all government departments.
  5. The Commissioned Manager will represent the company in front of the notary to choose a legal representative to do all the legal documentation.
  6. The financial account statement of the company for the last year (valid bank report). It must be legalized (sealed)  from the Iraqi embassy in the original Country.
  7. Any document which indicates to the company's financial capabilities.
  8. Any indication for previous projects will be very helpful in passing the foreign companies security screening.
  9. All required documents must be written in Arabic or English and providing a  translated documents for the originals legalized (sealed) from Iraqi embassy in the original country.
  10. The registration fee is equal to ( 200,000 Iraqi Dinars) $200.
  11. Opining an Iraqi Current Bank account.
  12. An authenticated Lease for the Company's Office/headquarters in Iraq.
  13. Checking up the location of the company's office according to the Lease by the checking staff (inspectors).
  14. Contract of the lawyer (legal representative), should be a member in the Iraqi BAR association.
  15. Assigning an Iraqi company Accountant registered in the Accountant Syndicate in Iraq and submitting the Contract along with the registration documents .
  16. Filling three registration official forms by the Commissioned Manager and the  Legal Representative and submitting them to the official company registrar along with all the previous documents.

Remarks:

  • Both legal representative and the accountant will be hired and authorized by the Commissioned Manager.
  • All three; Commissioned Manager ,legal representative and accountant have to provide proof that they residence in Iraq.
  • All three; Commissioned Manager ,legal representative and accountant can be changed any time the company needs to, after the issuance of the official company registration papers.
  • Additional Fees, commissions & Steps are required within these procedures.
  • This process teaks about two months from the day that the Commissioned Manager assigns a legal representative for the company, the delay is mostly for foreign companies security screening.
